Terms of Service

1. Agreement

These Terms of Service govern access to and use of VerifyMe. VerifyMe is operated by Faisal Ahmed Habib trading as VerifyMe, of Maitama, Abuja, FCT, Nigeria.

By creating an account, accepting an invitation, using an institutional workspace, issuing or managing a credential, purchasing a plan, or using another authenticated feature, you agree to these terms. If you act for an institution, you confirm that you have authority to act for and, where applicable, bind that institution within your assigned role.

Public visitors may use credential verification subject to the provisions of these terms that apply to them. If you do not agree, do not use VerifyMe.

2. The service

VerifyMe enables authorised institutions to issue, manage, verify, expire, and revoke digital credentials and enables recipients or third parties to check credential authenticity and status. Features may include institution verification, role-based team management, supporting documents, notifications, audit activity, downloadable files, and subscription services.

VerifyMe supplies the technical platform. Unless expressly stated otherwise, VerifyMe does not award a qualification, accredit an institution, certify a recipient's competence, or independently guarantee the truth of information supplied by an issuing institution.

3. Eligibility and authority

An account holder must be at least 18 years old, legally capable of agreeing to these terms, and authorised to use the relevant institution and role. Users must supply accurate information and must not misrepresent their identity, authority, institution, accreditation, or relationship with a recipient.

4. Accounts and security

Users are responsible for activity performed through their accounts and for protecting passwords, devices, sessions, recovery information, and multi-factor authentication factors. Accounts must not be shared. Suspected unauthorised access must be reported promptly to Email address coming soon or Email address coming soon.

VerifyMe may require identity checks, multi-factor authentication, reauthentication, or other safeguards for sensitive activity. A user must not bypass or attempt to bypass authentication, authorisation, bot protection, rate limits, or security controls.

5. Roles and permissions

Workspace capabilities depend on assigned roles and server-side permissions. Institutions are responsible for inviting appropriate personnel, reviewing access, promptly removing unnecessary access, and ensuring privileged actions are performed only by authorised persons.

A displayed control never overrides server-side or database authorisation. VerifyMe may refuse an action that the authenticated user lacks permission to perform.

6. Institution and issuer duties

Each institution is responsible for:

• Having authority and a lawful basis to collect recipient information and issue each credential.
• Ensuring credential and recipient information is accurate, current, relevant, and not misleading.
• Correcting, expiring, or revoking credentials where appropriate.
• Providing required privacy notices and obtaining required permissions or consents, particularly for minors.
• Uploading only lawful, safe, necessary, and properly licensed content.
• Responding appropriately to credential, correction, privacy, and status requests.
• Maintaining accurate institution, accreditation, verification, and billing information.
• Managing its users and preventing unauthorised credential issuance.

7. Recipients and public verifiers

A recipient who believes a credential is inaccurate should contact the issuing institution first. VerifyMe may assist with routing or technical issues but ordinarily cannot alter an institution's substantive credential decision without proper authority.

Public verification reflects the record and status held by VerifyMe at the time of the request. A verifier must consider the issuer, status, dates, and any limitation shown. Verification does not replace independent checks required for employment, admission, professional practice, regulation, or law.

8. Acceptable use

Users and visitors must not:

• Issue, upload, alter, or verify information for a fraudulent, deceptive, discriminatory, or unlawful purpose.
• Impersonate a person or institution or claim authority they do not possess.
• Access or attempt to access another organisation's data without permission.
• Scrape, harvest, enumerate, sell, or bulk-collect credential, recipient, or user information.
• Probe, disrupt, reverse engineer, overload, or interfere with VerifyMe or its safeguards, except within an expressly authorised security-disclosure programme.
• Upload malware, harmful code, unlawful material, or content that infringes another person's rights.
• Expose verification identifiers publicly where doing so creates an unreasonable privacy or security risk.
• Use VerifyMe in violation of privacy, education, employment, professional, consumer-protection, sanctions, or other applicable law.

9. Content and intellectual property

Users and institutions retain rights they lawfully hold in submitted information, logos, and documents. They grant VerifyMe a limited, non-exclusive, worldwide licence to host, copy, process, secure, display, generate files from, and transmit that content only as necessary to provide and improve the contracted service, comply with lawful instructions, and meet legal obligations.

The submitting party confirms it has all rights and permissions needed for the content. VerifyMe and its licensors retain all rights in the platform, software, product design, branding, and documentation, excluding user-provided content.

10. Privacy and data processing

The Privacy Policy describes VerifyMe's handling of personal data. An institution may also be required to provide its own privacy notice and enter into a data-processing agreement. If a signed institution agreement conflicts with these public terms on data-processing responsibilities, that signed agreement controls for the relevant institution.

11. Third-party services

VerifyMe relies on third-party hosting, database, authentication, storage, security, rate-limiting, and communication services. Their availability may affect VerifyMe. We are not responsible for an external service outside our reasonable control, but we will take reasonable steps to select and manage providers appropriately.

12. Free pilot, paid plans, and payment

VerifyMe may initially make some or all features available without charge as part of a free pilot, trial, promotional period, or free tier. Free access does not create a right to indefinite free use.

VerifyMe intends to introduce paid subscriptions and may offer different plans based on features, credential volume, storage, team size, verification volume, support level, or institution requirements. Prices and plan limits will be displayed before purchase or set out in an order form or service agreement.

VerifyMe will not begin charging an existing institution merely because a free pilot ends. At least 30 days' notice will be given before materially reducing an existing free pilot or requiring migration to a paid plan. Continued paid use will require an affirmative purchase, accepted order form, or other clear agreement.

For paid services:

• Fees, billing frequency, taxes, included usage, and renewal terms will be shown at purchase or in the applicable agreement.
• Subscriptions may renew automatically only where that arrangement is clearly disclosed and accepted.
• An institution must keep billing information current and pay valid invoices when due.
• Usage above a plan limit may be restricted or charged only as disclosed in advance.
• Except where law or the applicable plan requires otherwise, fees already paid are non-refundable, but service failures and billing errors will be handled fairly.
• VerifyMe may change future prices on reasonable notice. A price change will not retrospectively alter fees already paid for a current fixed billing period.
• Non-payment may result in restricted issuance or account suspension after reasonable notice; credential-verification integrity and lawful access to retained records will be considered before any restriction.

Commercial pricing will be published separately and can be revised without rewriting these terms, provided the user is shown and accepts the applicable price before being charged.

13. Availability and changes

VerifyMe aims to operate reliably but does not promise uninterrupted or error-free access. Maintenance, security events, provider outages, network conditions, legal requirements, or events beyond reasonable control may affect availability. Features may be changed or discontinued, with reasonable notice where a change is material and notice is practicable.

14. Suspension and termination

VerifyMe may restrict, suspend, or terminate access where reasonably necessary to address suspected fraud, a security risk, unlawful activity, material breach, non-payment, harm to another person, or a legal requirement. Where appropriate, notice and a reasonable opportunity to remedy will be provided.

An institution or user may request closure through Email address coming soon. Closure remains subject to valid retention duties, credential-integrity requirements, unresolved payments or disputes, and applicable institution agreements. Provisions that by nature should survive termination—including intellectual-property, payment, liability, indemnity, dispute, audit, and lawful-retention provisions—will continue.

15. Disclaimers

To the maximum extent permitted by applicable law, VerifyMe is provided on an "as available" basis. VerifyMe does not warrant that every issuer submission is accurate, every credential will be accepted by a third party, or the service will satisfy every institution-specific regulatory requirement. Nothing in these terms excludes a statutory right or warranty that cannot lawfully be excluded.

16. Limitation of liability

Nothing in these terms limits liability that cannot lawfully be limited, including liability for fraud, fraudulent misrepresentation, or any other liability whose exclusion is prohibited by law.

Subject to that rule and to the maximum extent permitted by law, VerifyMe will not be liable for indirect, incidental, special, punitive, or consequential loss; loss of anticipated profit, revenue, goodwill, opportunity, or business; or loss caused by inaccurate information submitted by an institution, a recipient's failure to protect a verification identifier, an unauthorised user, or an external service outside VerifyMe's reasonable control.

For paid institutional services, VerifyMe's aggregate liability arising from the service during any 12-month period will not exceed the fees actually paid by the affected institution to VerifyMe during the 12 months immediately preceding the event giving rise to the claim. For free, trial, or public-verification use, the aggregate cap will be ₦100,000. These limits apply in contract, tort, negligence, statutory duty, and other causes of action, to the extent legally permitted.

This clause must be reviewed before publication against the Federal Competition and Consumer Protection Act, the Nigeria Data Protection Act, the final customer model, and any institution-specific service agreement.

17. Institutional indemnity

To the extent permitted by law, an institution will indemnify VerifyMe against a third-party claim, regulatory cost, or reasonable loss arising directly from the institution's unlawful or unauthorised credential issuance; materially inaccurate submitted information; content that infringes another person's rights; misuse by a person whose access the institution authorised or failed to remove; or the institution's breach of its privacy, consent, or data-protection duties.

VerifyMe must notify the institution of a covered claim within a reasonable time, allow reasonable participation in the defence, and take reasonable steps to mitigate loss. The institution will not be responsible to the extent the loss was caused by VerifyMe's own breach, negligence, wilful misconduct, or unlawful processing.

This clause should be confirmed by Nigerian counsel and aligned with the final institutional service agreement.

18. Governing law and disputes

These terms are governed by the laws of the Federal Republic of Nigeria.

Before filing ordinary civil proceedings, a party should give written notice describing the dispute and allow 30 days for good-faith negotiation. If unresolved, the parties should attempt mediation in Abuja, Federal Capital Territory. If mediation is declined or does not resolve the dispute within a further 30 days, either party may bring proceedings before a court of competent jurisdiction in the Federal Capital Territory, Abuja.

This process does not prevent a party from seeking urgent interim relief, reporting a matter to a regulator, enforcing a non-waivable consumer right, or using another remedy that cannot lawfully be restricted.

19. Changes to these terms

VerifyMe may update these terms to reflect changes in the service, law, security requirements, or commercial arrangements. The revised version will display a new date. Additional notice will be provided where required or where a change materially affects an existing user. A change will not impose a new charge without the user's clear agreement.

20. General provisions

If a provision is unenforceable, the remaining provisions remain effective. Delay in enforcing a right is not a waiver. A user may not transfer an account or rights without VerifyMe's consent. VerifyMe may assign these terms as part of a legitimate financing, corporate reorganisation, merger, or sale. These terms, the Privacy Policy, applicable plan terms, and any signed institutional agreement form the relevant agreement between the parties.
